Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Engineer OS platform at engineeros.uk and its subdomains (the “Service”). Please read them carefully. By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you have authority to bind that business.
The Service is provided by Trailhead Holdings Ltd (“Engineer OS”, “we”, “us”, “our”), a company registered in England and Wales (company number 16910286), registered office 12 Lindsey Close, Brentwood, Essex, CM14 4PN, United Kingdom.
1. Definitions
“Customer” means the business that subscribes to the Service. “Authorised Users” means the owners, administrators, and engineers the Customer permits to use the Service. “Customer Data” means data the Customer or its Authorised Users submit to the Service, including jobs, customers, sites, contacts, forms, photos, documents, certificates, and notes. “Subscription” means the paid plan a Customer selects.
2. The Service
Engineer OS is a multi-tenant software-as-a-service platform for field service teams, providing job management, scheduling, digital forms, photo and document storage, certificate tracking, and related features. We may add, change, or remove features over time. We will not materially reduce core functionality of a paid plan during a paid term without notice.
3. Accounts and eligibility
The Service is for business use by users aged 18 or over. The Customer is responsible for its account, for keeping login credentials secure, for the activity of its Authorised Users, and for ensuring its Authorised Users comply with these Terms. You must provide accurate account information and keep it up to date. Notify us promptly of any unauthorised use of your account.
4. Trials, subscriptions, and billing
Trial. We may offer a free trial (currently 14 days). At the end of the trial, you must select a paid plan to continue using the Service. We may change or withdraw trial terms at any time.
Pricing and plans. Subscriptions are charged per engineer per month, or per year where an annual plan is selected, at the prices shown at sign-up or as otherwise agreed. Plan limits and features are as described on our pricing page.
Payment. Payments are processed by Stripe. By subscribing, you authorise us, through Stripe, to charge your chosen payment method for the Subscription on a recurring basis until cancelled. Fees are exclusive of VAT, which will be added where applicable.
Renewal and changes. Subscriptions renew automatically for successive terms unless cancelled before the renewal date. If you add engineers during a term, charges will be adjusted accordingly. We may change pricing on reasonable notice, with changes taking effect from your next renewal.
Cancellation. You may cancel at any time, effective at the end of the current billing period. Unless required by law, fees already paid are non-refundable.
Late or failed payment. If payment fails, we may suspend or restrict access until payment is made.
5. Customer Data and intellectual property
Your data is yours. As between the parties, the Customer owns all Customer Data. You grant us a limited licence to host, process, and transmit Customer Data solely to provide and support the Service.
Our platform is ours. We own all rights in the Service, including its software, design, and content, excluding Customer Data. These Terms grant no rights in the Service except the limited right to use it as permitted here.
Data protection. Our processing of personal data is described in our Privacy Policy. Where we process personal data within Customer Data on the Customer’s behalf, we act as a processor and the Customer as controller, governed by our Data Processing Agreement, which is incorporated into these Terms by reference.
Export and deletion. You may export your Customer Data while your account is active. On termination, we will make Customer Data available for export for a reasonable period before deletion, except where retention is required by law.
6. Acceptable use
You agree not to: use the Service unlawfully or to store unlawful content; upload malware or attempt to breach security or tenant isolation; access another organisation’s data; reverse engineer or copy the Service except as permitted by law; resell or provide the Service to third parties without our agreement; or use the Service in a way that disrupts or harms it or other users. We may suspend access to address a material breach or a security or legal risk.
7. Third-party services
The Service relies on third-party providers, including hosting, payments, email, and AI providers, as described in our Privacy Policy. We are not responsible for third-party services outside our control, but we choose providers we consider reputable and bind them to appropriate obligations.
8. Availability and support
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. We may carry out maintenance, ideally with notice for planned downtime. Support is provided through the channels we make available. Any specific service levels will be stated separately where agreed.
9. Warranties and disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose and non-infringement. You are responsible for ensuring the Service meets your requirements and for maintaining your own records where you need them, including for regulatory or safety purposes.
10. Limitation of liability
Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that:
- We are not liable for loss of profits, revenue, goodwill, or anticipated savings, or for indirect or consequential loss.
- Our total liability arising out of or in connection with these Terms in any 12-month period is limited to the amount you paid us for the Service in that period.
You are responsible for keeping your own backups of business-critical records where appropriate.
11. Indemnity
You will indemnify us against claims and losses arising from your unlawful use of the Service, your breach of these Terms, or Customer Data that infringes the rights of a third party or breaches applicable law.
12. Term and termination
These Terms apply while you use the Service. Either party may terminate as set out here or in the applicable order. We may suspend or terminate access for material breach, non-payment, or legal or security reasons. On termination, your right to use the Service ends and the data provisions in section 5 apply.
13. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and update the “Last updated” date. Where changes are material, we will take reasonable steps to notify you. Continued use of the Service after changes take effect constitutes acceptance.
14. Governing law and jurisdiction
These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
